Terms of Service

Effective Date: April 25, 2026

These Terms of Service ("Terms") govern your use of flightlutions.com (the "Site") and any inquiries, communications, or preliminary engagement with Flightlutions LLC ("Flightlutions," "we," "us," or "our"). Flightlutions is a New York limited liability company providing commercial drone thermal imaging services based in Westchester County, NY, serving the New York Metropolitan Area.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Important: All paid client engagements are governed by a separate written Statement of Work ("SOW") executed between Flightlutions and the client. The SOW controls the specific scope, fees, deliverables, schedule, and terms of any service engagement. These Terms govern your use of the Site and general dealings with Flightlutions; the SOW governs each individual project.

1. Acceptance and Eligibility

By using the Site or contacting Flightlutions, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. The Site and our services are intended for use by adults and by businesses, property owners, and authorized agents. We do not knowingly accept service inquiries from minors.

2. Description of Services

Flightlutions is a commercial drone services provider specializing in aerial thermal imaging. Our services include, but are not limited to:

  • Thermal inspection of flat and low-slope roofing systems;
  • Thermal inspection of building envelopes;
  • Thermal inspection of solar photovoltaic arrays; and
  • Thermal inspection of exterior electrical equipment and large indoor electrical spaces.

Service availability, pricing, and scope vary by project and are confirmed in the Statement of Work for each engagement. Flightlutions holds the FAA Part 107 Remote Pilot Certificate and ITC Level 1 sUAS Thermography Certification (FLIR Infrared Training Center).

3. FAA and Regulatory Compliance

Flightlutions operates in compliance with the Federal Aviation Administration's (FAA) Part 107 regulations governing the commercial operation of small unmanned aircraft systems (sUAS), as well as applicable state and local laws. Our operations are subject to airspace authorizations, weather conditions, and operational constraints that may affect scheduling, scope, or feasibility of any given flight.

If a requested operation cannot be performed safely or legally, Flightlutions will inform the client and, where possible, propose alternatives. Restrictions may include controlled airspace, Temporary Flight Restrictions (TFRs), weather, or other regulatory limitations.

4. Statement of Work Governs Engagements

No services are performed solely on the basis of these Terms or website communications. All paid engagements require a written Statement of Work ("SOW") signed by both parties. The SOW will specify, at minimum:

  • Scope of services and deliverables;
  • Site location(s) and target subjects;
  • Schedule and weather-contingency provisions;
  • Fees, payment terms, and reimbursable expenses;
  • Client responsibilities (site access, permissions, on-site contact);
  • Deliverable format and timeline; and
  • Any project-specific terms.

In the event of a conflict between these Terms and a signed SOW, the SOW governs as to the matters it addresses.

5. Right to Refuse or Discontinue Service

Flightlutions reserves the right, at our sole discretion, to refuse, suspend, or discontinue service for any lawful reason, including but not limited to:

  • Unsafe weather conditions, wind, precipitation, or visibility;
  • Airspace restrictions, TFRs, or denial of FAA authorization;
  • Unsafe site conditions, including unsecured areas, hazardous obstructions, or active emergencies;
  • Insufficient or unverified property access permissions;
  • Requests that would require unlawful, unethical, or unsafe operation;
  • Client behavior that is abusive, threatening, or interferes with safe operations;
  • Non-payment or breach of any SOW or these Terms; or
  • Any circumstance in which Flightlutions, in its professional judgment, determines that proceeding would compromise safety, legality, or the quality of the deliverable.

If service is discontinued mid-engagement for safety, weather, or regulatory reasons outside the client's control, refund or rescheduling terms will be governed by the SOW.

6. Inspection Reports and Professional Limitations

Thermal imaging is a powerful diagnostic tool, but it has technical and methodological limitations. Clients engaging Flightlutions for inspection services should understand and acknowledge the following:

  • Thermal imaging identifies thermal anomalies (patterns of differing surface temperature) that may indicate underlying conditions such as moisture intrusion, electrical issues, insulation gaps, or component failures.
  • Thermal anomalies are indicators, not diagnoses. Confirmation of root cause typically requires follow-up inspection by a qualified roofing contractor, licensed electrician, structural engineer, solar O&M specialist, or other appropriate professional.
  • Thermal imaging results are influenced by environmental conditions including ambient temperature, solar loading, wind, recent precipitation, surface emissivity, time of day, and the thermal contrast available at the time of flight.
  • Flightlutions deliverables are not a substitute for a licensed engineering assessment, electrical certification, code compliance inspection, structural inspection, warranty claim, or insurance adjuster's report.
  • Flightlutions does not perform repair work, code inspections, or licensed engineering or electrical services, and does not warrant the structural, electrical, or operational condition of any inspected asset.

Clients are responsible for engaging appropriate licensed professionals to act on inspection findings.

7. Third-Party Privacy and Aerial Imagery

Flightlutions operates under FAA Part 107 rules and respects the privacy of third parties. We will not intentionally capture or deliver imagery of neighboring properties, individuals, or activities beyond what is incidental to the contracted scope of work.

Clients who engage Flightlutions represent and warrant that:

  • They own the property to be inspected, or have obtained authorization from the owner or other party with legal authority to permit aerial imaging;
  • They have not engaged Flightlutions for the purpose of surveilling, harassing, or recording third parties without consent; and
  • They will inform Flightlutions of any sensitive areas, restricted zones, or third-party concerns relevant to the operation.

Flightlutions reserves the right to decline or terminate any engagement that appears intended to violate the privacy rights of third parties.

8. Intellectual Property and Portfolio Rights

8.1 Site Content

All content on the Site (including text, graphics, logos, images, video, code, and the "Actionable Thermal Intelligence" tagline) is the property of Flightlutions LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from Site content without our prior written permission, except for personal, non-commercial viewing.

8.2 Deliverables

Unless otherwise specified in a Statement of Work, Flightlutions retains ownership of all raw thermal imagery, raw video, raw flight data, and the underlying methods and analytical frameworks used to produce client deliverables. Upon full payment for an engagement, the client is granted a non-exclusive, royalty-free license to use the final deliverables (such as the inspection report and selected imagery) for the purpose stated in the SOW: internal review, contractor coordination, insurance claims, or warranty submissions.

8.3 Portfolio Use

Flightlutions reserves the right to retain and use anonymized or de-identified versions of project imagery, deliverables, and case study material for our portfolio, marketing, training, and educational purposes. We will not publicly identify a client's specific property address, name, or proprietary information without the client's consent. Clients may opt out of portfolio use by notifying us in writing prior to the start of the engagement or as provided in the SOW.

8.4 Data Archiving and Retention

Flightlutions is not a data storage facility. Once final deliverables have been transmitted to the client and the engagement concludes, Flightlutions is under no obligation to indefinitely archive, store, or maintain copies of the raw data, thermal imagery, or final inspection reports, unless a specific data-retention period is explicitly contracted in the Statement of Work. Clients are solely responsible for securely backing up and maintaining their own records of all deliverables.

9. Insurance

Flightlutions maintains commercial drone liability insurance with coverage of at least $1,000,000 per occurrence. Certificates of insurance are available to clients upon request. Insurance is the primary mechanism for resolving any claim arising out of physical damage to property or bodily injury caused by Flightlutions' drone operations during a contracted engagement.

10. Disclaimer of Warranties

The Site and all information on it are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Flightlutions disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, with respect to the Site.

Service-specific warranties, if any, are addressed exclusively in the applicable SOW. No statement on the Site constitutes a warranty or guarantee of any specific outcome, finding, or result from a thermal inspection or other service.

11. Limitation of Liability

This Section establishes two distinct categories of liability, addressed separately:

11.1 Contractual and Service Deliverable Liability

To the fullest extent permitted by law, Flightlutions' total liability to a client arising out of or related to the accuracy, completeness, timeliness, or usefulness of inspection reports, thermal imagery, written deliverables, or other professional service outputs (including claims based in contract, breach of warranty, professional negligence in deliverable production, or similar theories) shall not exceed the total fees actually paid by the client to Flightlutions for the specific engagement giving rise to the claim.

In no event shall Flightlutions be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of business opportunity, loss of data, or cost of substitute services, even if Flightlutions has been advised of the possibility of such damages.

11.2 Physical Damage and Bodily Injury

Claims for physical damage to property or bodily injury caused by Flightlutions' drone operations during a contracted engagement are addressed through Flightlutions' commercial drone liability insurance described in Section 9. Nothing in these Terms or any SOW is intended to limit or exclude liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or fraud.

11.3 Site Use

With respect to your use of the Site (separate from any service engagement), Flightlutions shall not be liable for any damages of any kind arising from your use of, inability to use, or reliance on the Site or its content.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flightlutions LLC, its members, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms or any SOW; (b) your misuse of the Site; (c) your violation of any law or the rights of any third party, including third-party privacy or property rights; or (d) your misrepresentation regarding ownership of, or authority over, any property submitted for service.

13. Site Use Restrictions

When using the Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;
  • Submit false, misleading, or fraudulent information through the contact form;
  • Attempt to gain unauthorized access to the Site, its systems, or related infrastructure;
  • Use automated tools (bots, scrapers, crawlers) to access the Site in a manner that disrupts service or violates our hosting provider's terms;
  • Introduce malware, viruses, or harmful code; or
  • Reproduce, copy, sell, or commercially exploit Site content without authorization.

14. Third-Party Links and Content

The Site may contain links to third-party websites, embedded videos (such as YouTube), and links to social media platforms (such as Facebook and Instagram). These third-party services are not controlled by Flightlutions, and we are not responsible for their content, privacy practices, or terms of use. Your use of any third-party service is at your own risk and subject to that third party's terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles.

Any dispute arising out of or related to these Terms, the Site, or any preliminary inquiry shall be resolved exclusively in the state or federal courts located in Westchester County, New York, and you consent to the personal jurisdiction and venue of those courts. Disputes related to a specific paid engagement may be subject to dispute-resolution provisions in the applicable SOW, which control as to that engagement.

You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Effective Date" at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

17. Miscellaneous

  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that or any other provision.
  • Entire Agreement. These Terms, together with the Privacy Policy and any applicable Statement of Work, constitute the entire agreement between you and Flightlutions regarding the Site and any preliminary engagement.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. Flightlutions may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Flightlutions is not liable for any delay or failure in performance due to causes beyond our reasonable control, including acts of God, weather, regulatory action, airspace restrictions, public health emergencies, or labor disputes.
